You are responsible for applicable taxes, excluding taxes imposed on our net income.

You must not use the platform to send unsolicited or unlawful messages, conduct prohibited robocalling, spoof caller identification unlawfully, or evade telecommunications restrictions.
You are responsible for the content, timing, targeting, and legality of your outreach campaigns.
PeakProspects CRM does not guarantee that any particular campaign, contact list, phone number, or communication method is legally compliant simply because it is available through the platform.
We may restrict calling or messaging functionality when necessary to address suspected abuse, comply with law, or satisfy a communications provider's requirements.
7. Third-Party Services and Integrations
PeakProspects CRM may connect with third-party providers for telephony, messaging, payment processing, email, hosting, analytics, and other functions.
Your use of third-party services may be subject to separate agreements and policies.

8. Intellectual Property
PeakProspects CRM and its original software, branding, design, documentation, and related materials are owned by or licensed to PeakProspects and are protected by applicable intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business purposes, subject to these Terms and your subscription.
You may not use our trademarks, branding, or proprietary materials in a way that suggests an unauthorized affiliation or endorsement.
No ownership rights in the underlying platform are transferred to you.
9. Service Availability and Changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation.
The platform may occasionally be unavailable because of maintenance, updates, outages, security incidents, or issues affecting third-party providers.
We may modify features or functionality to improve the service, comply with law, or address technical limitations.
Where required by law or a separate agreement, we will provide notice of material changes.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law, PeakProspects CRM is provided on an “as available” and “as is” basis.
We disclaim implied warranties to the extent legally permitted, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the platform will generate leads, produce sales, achieve a particular conversion rate, ensure delivery of communications, or result in any specific business outcome.
Nothing in this section excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, PeakProspects CRM and its owners, affiliates, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from your use of the service.
To the maximum extent permitted by law, our aggregate liability arising from or relating to the service will not exceed the total amount you paid directly to PeakProspects CRM for the service during the three months immediately preceding the event giving rise to the claim.
This limitation does not apply to liabilities that cannot legally be limited or excluded. Any mandatory statutory rights remain unaffected.
12. Indemnification
To the extent permitted by applicable law, you agree to be responsible for third-party claims, losses, and reasonable expenses arising from your unlawful use of the service, your violation of these Terms, or your infringement of third-party rights.
This provision does not require you to indemnify us for our own conduct to the extent such an obligation would be unlawful.
13. Suspension and Termination
You may stop using the service and cancel your subscription according to the applicable cancellation procedure.
We may suspend or terminate access if you materially violate these Terms, engage in unlawful activity, create a significant security risk, fail to pay amounts due, or expose the platform or others to material harm.
Where appropriate and legally permissible, we will provide notice and an opportunity to resolve the issue before taking action.
Upon termination, your right to access the service ends. Data export, retention, deletion, and any outstanding payment obligations will be handled in accordance with our Privacy Policy, applicable subscription terms, and applicable law.

These Terms will be governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory law provides otherwise.
Any dispute will be handled by the courts or other dispute-resolution forum with appropriate jurisdiction, subject to applicable consumer protections and other mandatory legal requirements.
16. Changes to These Terms
We may revise these Terms periodically.
When we make material changes, we will update the “Last Updated” date and provide additional notice when required by law.
Changes will take effect as stated in the notice or as otherwise required by law. Continued use after changes take effect constitutes acceptance only to the extent legally recognized.
